This Summit Guest Speaker Agreement is being entered into by Rachael G of (“Summit Host”) and You (“Guest Speaker”) this July 1 of 2018.

1. Summit Description

The Back to School Summit is a virtual online summit taking place on September 4 through September 7, 2018.

2. Guest Speaker Participation

Guest Speaker shall participate in Summit by pre-recording a video training lesson that is 30 minutes in length, and by providing one digital product to include in the All-Access Pass.

Guest Speaker makes no express or implied guarantees, warranties or representations regarding information presented during the course of the Summit Work Product, but confirms that he/she has made every effort to provide information that is accurate, appropriate and up to date.

Summit Host shall not be liable for any losses, damages or injuries that result due to any Summit attendee’s reliance, act or failure to act with regard to information presented by Guest Speaker.

3. Deadlines

Guest Speaker shall deliver the agreed upon Work Product to Summit Host by July 16, 2018

4. Compensation

Guest Speaker shall receive no monetary compensation for participation in Summit. Guest Speaker has the opportunity to earn affiliate commissions through promotion of Summit. See separate Affiliate Agreement.

5. Promotion

In lieu of monetary compensation, Guest Speaker shall receive promotional benefits wherein Summit Host will include Guest Speaker’s information on Summit sign up page.

Summit Host shall collect email address and name information from Summit attendees, but such information shall not be shared with Guest Speaker.

6. Independent Contractor Relationship

Guest Speaker’s relationship with Summit Host shall be that of an independent contractor. Nothing in this agreement is intended to, or should be interpreted to, create an employment relationship. The Guest Speaker and Summit Host acknowledge that this Agreement does not create a partnership, joint venture or employment relationship between them, and is exclusively a contract for performance of the Work Product related to Summit.

7. Intellectual Property Rights

Guest Speaker warrants that all Work Product developed or created by him or her for Summit is his or her original and exclusive work.

Guest Speaker agrees that all Work Product developed or created by him or her within the performance of the Work Product pursuant to this Agreement will and shall be the sole property of Summit Host, as part of Summit.

8. Limitation of Liability

In no event shall Summit Host be held liable for any losses, damages or injuries resulting from full performance of this Agreement, to the extent allowed by law.

9. Dispute Resolution

In the event that a dispute arises out of or in connection with this Agreement, the parties agree to attempt to first resolve the dispute through friendly means.

If the dispute is not resolved within a reasonable period of time, this Agreement shall be governed in all respects by the laws of South Carolina and the United States. Each party irrevocably consents to the exclusive personal jurisdiction of the federal and/or state courts of South Carolina, as applicable, for any matter arising out of or in relation to this Agreement. However, in actions seeking to enforce any order or any judgment of such federal and/or state courts located in South Carolina, such personal jurisdiction shall be nonexclusive.

10. Cancellation

Either party may cancel this Agreement without penalty by giving at least 2 weeks notice to the other party.

If Guest Speaker is unable to perform his or her Work Product and has not provided timely notice as indicated above, the Guest Speaker will be removed from the Summit website.

11. General Provisions

If any provision of this Agreement is unenforceable, that provision shall be deemed amended to achieve as near as possible the same economic effect as the original provision and the remainder of this Agreement shall remain in effect and not be impaired.

Both parties agree that neither shall be liable for failure to perform or delays in performance caused by circumstances reasonably beyond his or her control.

This Agreement constitutes the entire contract between Summit Host and Guest Speaker. This Agreement supersedes any previous negotiations, commitments, agreements or understandings, oral or written, surrounding the Work Product. This Agreement may not be altered, updated, modified or changed in any manner expect by a written agreement signed by both parties.
